1. Who you are contracting with
These Terms of Service ("Terms") are a binding agreement between you and Hedge Financial Group, LLC, a United States limited liability company that operates the Sync application at sync-me.app (referred to here as "Sync", "we", or "us"). By creating an account, accessing, or using Sync you agree to these Terms. If you are using Sync on behalf of an organization, you represent that you have authority to bind that organization. If you are using Sync as an individual, you represent that you are of legal age to form a binding contract.
2. The service
Sync is a social scheduling assistant that helps you coordinate availability with friends and groups. Features include intent-setting, calendar integration (busy/free), share links, group planning, and Group Beats. We may add, change, or remove features from time to time.
3. Accounts
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must provide accurate information and keep it up to date. Notify us promptly if you suspect unauthorized use of your account.
4. Acceptable use
You agree not to misuse Sync. Prohibited activities include: unlawful use; fraud, spam, or harassment; infringing anyone's intellectual property; interfering with the security or integrity of the service (including distributing malware, probing, or scraping); reverse-engineering or circumventing technical limits; and reselling or redistributing the service without our written permission.
5. Paid subscriptions & Paddle (Merchant of Record)
Sync Premium is offered as a monthly or annual subscription at the prices shown on our Pricing page. Subscriptions automatically renew at the end of each billing period until cancelled. You can cancel at any time from the Billing page in your account or from your Paddle receipt; cancellation stops the next renewal and Premium features remain available until the end of the current period. Applicable taxes may be added at checkout.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is also subject to Paddle's Checkout Buyer Terms, which govern payment, billing, tax, cancellation, and refund mechanics.
Refunds are handled in accordance with our Refund Policy, which provides a 30-day money-back guarantee.
6. Intellectual property
Sync and its original content, features, functionality, software, documentation, and branding are owned by Hedge Financial Group, LLC and are protected by international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use Sync within your plan.
7. Your content
You retain ownership of the content you provide to Sync (for example, notes, intents, and group information). You grant us a limited, worldwide, royalty-free license to host and process that content solely to operate and provide the service to you.
8. Termination & suspension
You may delete your account at any time from Settings. We may suspend or terminate your access, with or without notice, for material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. On termination, your right to use Sync ends; we will delete your data in accordance with our Privacy Notice.
9. Service level & warranties
Sync is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, or meet your requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, in no event will Hedge Financial Group, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our aggregate liability for any claim arising out of or relating to Sync will not exceed the amounts you paid to us for the service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law (including for fraud, death, or personal injury).
11. Indemnity
You agree to indemnify and hold Hedge Financial Group, LLC harmless from claims arising out of your content, your unlawful use of Sync, or your breach of these Terms.
12. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
13. Assignment & force majeure
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
14. Changes to these terms
We may modify these Terms from time to time. Material changes will be announced in the app or by email. Continued use of Sync after changes take effect constitutes acceptance of the updated Terms.
